These Terms of Service (“Terms”) govern your access to and use of websites, software, applications, subscriptions, digital products and related services provided by CDL Limited LLC (“CDL,” “we,” “us,” or “our”).
By registering for, purchasing, accessing or using our services, you agree to these Terms.
CDL Limited LLC is the contracting legal entity for all services described in these Terms. It is a limited liability company organized in the State of Wyoming, United States, with its principal business address at 2107 NW 79th Avenue, Unit KJ1023, Doral, Florida 33122, USA.
Eligibility
You must be legally capable of entering into a binding agreement and must provide accurate information when creating an account or purchasing a service.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
Our Services
CDL Limited LLC develops and provides digital software products, business tools, subscriptions and related online services for professional and business users.
Products may be developed and marketed under brands owned or controlled by CDL Limited LLC, including CLAWE.
Specific functionality, pricing, features, limitations and availability may vary by product.
We may improve, modify, add, remove or discontinue features where reasonably necessary as our products develop.
Professional Judgment
Our software and digital products are designed to assist users with analysis, organization, decision-making, productivity or business processes.
They do not replace professional judgment.
Unless expressly stated otherwise, our services do not constitute legal, tax, accounting, investment, insurance, medical or other regulated professional advice.
Users remain responsible for verifying information and making their own professional and business decisions.
User Data and Uploads
You retain responsibility for information and files that you upload.
By uploading data, you represent that you have the legal right and any necessary authorization to provide and process that information.
You must not upload:
- information obtained unlawfully;
- data you are not authorized to process;
- malicious software or harmful code;
- material that infringes another party’s rights;
- content prohibited by applicable law.
You grant us the limited rights reasonably necessary to host, process, analyze, transmit and display uploaded information solely in connection with operating and providing the service.
Accuracy of Results
We aim to provide accurate and useful outputs, but software calculations and analyses may depend on the completeness, accuracy, format and quality of information supplied by the user.
Users should review important outputs before relying upon them for financial, professional, regulatory or business decisions.
We do not guarantee that every output will be error-free or suitable for every purpose.
Subscriptions and Payments
Where a product is offered as a subscription, your payment method may be charged automatically at the beginning of each applicable billing period until the subscription is cancelled.
Pricing, billing period, trial period and promotional terms will be displayed at or before checkout.
Payments may be processed through third-party providers such as Stripe.
You are responsible for providing valid payment information and keeping it current.
Trials and Promotional Offers
We may offer:
- free trials;
- introductory pricing;
- founding-member pricing;
- promotional access;
- discounted plans;
- other limited-time offers.
Unless expressly stated otherwise, promotional pricing applies only for the period specified and may later convert to the standard subscription price disclosed at signup.
Cancellation Policy
You may cancel a recurring subscription using the cancellation method made available for the applicable product.
Unless otherwise stated, cancellation prevents future renewal charges but does not automatically create a refund for amounts already paid.
Access may continue until the end of the applicable paid billing period.
Refund and Dispute Policy
Unless a specific product or offer states otherwise, payments for digital products, software access, subscriptions and related services are generally non-refundable once access has been provided.
We may provide refunds, credits or other accommodations at our discretion where appropriate, including in cases of:
- duplicate charges;
- billing errors;
- material service failure.
If you believe a charge is incorrect, please contact us first at chrislawe@gmail.com so we can investigate and attempt to resolve the issue.
Nothing in this section limits rights that cannot legally be waived.
Acceptable Use
You may not:
- attempt to gain unauthorized access to our systems;
- interfere with service operation or security;
- use the service for unlawful, fraudulent, abusive or deceptive purposes;
- reverse engineer, copy, resell, sublicense, scrape or commercially exploit our software except where expressly authorized;
- share account credentials in violation of the applicable subscription terms.
Intellectual Property
Our websites, software, designs, workflows, branding, interfaces, text, graphics, features and underlying intellectual property are owned by or licensed to CDL Limited LLC unless otherwise stated.
Purchasing or subscribing to a product gives you a limited right to use that product.
It does not transfer ownership of the product or its intellectual property.
Service Availability
We aim to keep our services available and reliable, but we do not guarantee uninterrupted operation.
Services may occasionally be unavailable because of maintenance, upgrades, third-party service interruptions, security events or circumstances outside our reasonable control.
Suspension or Termination
We may suspend or terminate access where reasonably necessary because of:
- non-payment;
- fraud or suspected fraud;
- misuse of the service;
- security concerns;
- violation of these Terms;
- legal or regulatory requirements.
Disclaimer of Warranties
To the fullest extent permitted by law, our services are provided on an “as is” and “as available” basis.
We do not warrant that services will be uninterrupted, error-free or suitable for every individual business situation.
Limitation of Liability
To the fullest extent permitted by applicable law, CDL Limited LLC will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages arising from use of or inability to use our services.
To the fullest extent permitted by law, our aggregate liability arising from a particular paid service will not exceed the amount you paid us for that service during the twelve months preceding the event giving rise to the claim.
Governing Law
These Terms are governed by the laws applicable to CDL Limited LLC in the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise.
Changes to These Terms
We may update these Terms periodically.
Updated Terms will be published with a revised effective date.
Continued use after an update constitutes acceptance where permitted by applicable law.
